1. Acceptance of terms

By creating an account or using KlaroTax, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use KlaroTax.

2. What KlaroTax is — and is not

KlaroTax is a deterministic-plus-AI financial intelligence tool that helps you organise your financial evidence and understand your Nigerian tax position under the 2026 tax regime. KlaroTax is not a substitute for professional tax, legal, or accounting advice, and it does not file your tax return on your behalf unless you separately engage a licensed preparer or agent feature (where offered) subject to its own terms. You remain responsible for the accuracy of the information you provide and for your own tax filing obligations to the Nigeria Revenue Service.

3. Eligibility

KlaroTax is intended for Nigerian individuals, freelancers, and sole proprietors of legal age. It is not intended for use by minors (see Section 10 of the Privacy Policy).

4. Your account

You are responsible for keeping your login credentials secure and for all activity under your account. Tell us immediately if you suspect unauthorised access.

5. Your content and data

You retain ownership of the documents and data you upload. You grant KlaroTax a licence to process that data solely to provide the service described in these Terms and our Privacy Policy — never to sell it or use it for unrelated purposes.

You are responsible for the accuracy of documents and information you provide. KlaroTax's outputs are only as good as the evidence you give us — we apply conservative assumptions and label uncertainty clearly, but we do not independently verify facts we were not given.

6. Fees and billing

6.1 Plans

KlaroTax is offered on a Free plan and one or more Paid plans ("Clarity," "Pro," and "Practice" as described on our pricing page). What each plan includes — document upload limits, bank-linking access, and computation features — is set out on the pricing page in force at the time, which forms part of these Terms by reference. We will not change what a plan includes for a period you have already paid for without your consent.

6.2 The Free Plan

The Free plan is free of charge. It includes a limited number of document uploads each calendar month (currently 3, reset on the 1st of each month, Nigeria time), unlimited manual transaction entry, and full access to your own Income & Expenditure report. We size this limit to keep the service sustainable to provide at no cost — it exists because processing a document costs us money even when we charge you nothing for it — not to limit what you can see about your own finances. We will never take away a report or a computation you have already generated by lowering this limit; a limit only affects new uploads going forward. If we ever change the Free plan's limits, we will say so on the pricing page before the change takes effect, and it will never apply retroactively to uploads you have already made.

6.3 How Paid Plans are billed

Paid plans are billed as a single, one-time charge for a fixed period (currently one year), not as an automatically recurring subscription. When you subscribe to a Paid plan, you authorise one charge for that period's price, using the payment method you provide at checkout. We do not store your full card details — payment is processed by our payment processor, and we hold only a reference to the transaction.

We do not automatically charge you again when your period ends. Renewal is an action you take, not something that happens to you (see 6.5). This means: no card is kept on file for automatic re-billing, no charge appears on your statement that you did not initiate at checkout or at renewal, and if you do nothing when your period ends, your plan reverts to the Free plan rather than continuing to bill you. We may offer a true auto-renewing subscription option in the future; if we do, we will update this section and obtain your separate, explicit consent before enrolling you in it — auto-renewal will never be switched on for an existing customer without that consent.

The amounts you pay for Paid plans are our "Fees". Fees are charged in Nigerian naira (NGN).

6.3A Tax and receipts

The price shown at checkout is the total you pay. Paystack emails you a payment receipt when you pay. If you would like a KlaroTax receipt showing the plan, the amount, the period it covers and your payment reference, email hello@klarotax.net and we will send it. If you have a question about a payment, or see a charge you do not recognise, email hello@klarotax.net with the payment reference shown on your Paystack receipt, and we will look into it with our payment processor. Never send us your full card number.

6.3B Moving up to a bigger plan

If you buy a bigger plan while a smaller Paid plan is still running, we take the value of the time left on the smaller plan off the price, and your new 12 months start from the day you pay. The exact amount is shown on the payment page before you pay. The credit is worked out in proportion to the time left, is never more than you paid for the smaller plan, and is not available for a plan that has already ended.

6.4 Launch rollout

The Free plan's upload limit described in 6.2 is actively enforced from 8 October 2026. Before that date, while we confirmed our billing and usage-tracking systems under real conditions, uploads were still counted against your plan's normal monthly allowance from the moment they were made; only the blocking of uploads past the limit began later, not the counting of them.

6.5 Renewal

Plan and usage in the app shows when your Paid plan ends, and shows an "ends soon" notice in the last 30 days. We may also remind you by email or in the app. To continue on a Paid plan, you return to KlaroTax and complete a new checkout for the next period at the then-current price for that plan. There is no penalty for renewing late — your account simply reverts to the Free plan at the end of your paid period until you renew, and nothing you have already built (your transaction history, your Income & Expenditure reports, your saved deductions and disposals) is deleted or hidden because your plan lapsed. If you renew after a gap, you resume the Paid plan going forward; renewal does not retroactively restore access to the lapsed period. When your paid period ends, paid features stop working; information already imported into your account stays.

6.6 Cancellation

Because Paid plans are billed one period at a time with no automatic renewal (6.3), there is no ongoing subscription to "cancel" in the sense of stopping a future automatic charge — there is none to stop. If you do not wish to continue on a Paid plan, you simply do not renew (6.5); your access continues for the period you already paid for, and then your account reverts to the Free plan. If we ever introduce a true auto-renewing subscription (6.3), that version of this section will describe how to turn auto-renewal off, and doing so will take effect from your next billing date, not retroactively.

6.7 Refunds

We assess refund requests as follows:

If KlaroTax's service was defective — for example, if a paid feature you were charged for did not work, or a computation the service is responsible for was produced incorrectly due to a fault on our side — you are entitled to a remedy under Nigerian consumer protection law, including the Federal Competition and Consumer Protection Act 2018, which may include a repair, a replacement of the service, or a refund, as appropriate to the defect. This right exists independently of anything in these Terms and is not reduced by them.

If you simply change your mind after a period of service has been properly delivered, refunds are not automatic — Nigerian law does not create a general right to a refund for a digital service you received as described once it has been provided, and we do not represent otherwise. We will, however, consider a pro-rated refund at our discretion in cases such as an accidental duplicate purchase, a purchase of the wrong plan corrected promptly, or a purchase made shortly before you discover the service does not suit your needs, where you contact us promptly and have made minimal use of the paid features.

To request a refund, contact us at the support address on our pricing page, describing what happened. We will respond and, where a refund is due under the defective-service standard above, process it to your original payment method within a reasonable time.

Refunds go back to the payment method you used. Your bank or card issuer controls how long they take to appear, which can be several working days. When a full refund is made, the plan it paid for ends and your account returns to the Free plan. If you moved up to a bigger plan (6.3B), we refund the payments for both plans together, and never more than you paid in total. If you dispute a charge with your bank, please contact us first so we can fix it quickly; while a dispute is open we may pause the paid features it covers.

We do not offer, and this section does not create, a fixed "cooling-off" period during which any purchase can be cancelled and refunded for any reason — no such universal right exists in Nigerian law for a digital service, and we are not stating one here that we would later have to walk back.

6.8 Failed and declined payments

If a payment fails or is declined — whether at initial checkout or at renewal — no charge is made and no plan change takes effect. We will show you the failure and let you try again with the same or a different payment method. A failed payment does not affect any plan or content you already have: it simply means the new plan you attempted to purchase has not started. We do not retry a failed payment automatically or attempt to charge a payment method again without your taking a further action, because we do not store your card for repeat automatic charges (6.3).

6.8A Payment taken but your plan has not started

If a payment fails, is declined, or you were charged but your plan did not start within 24 hours, email hello@klarotax.net with the payment reference and the email address on your account, and we will check with our payment processor and tell you the outcome. We will either start your plan or refund the payment in full. If you are charged twice for the same period, we will refund the extra charge. Requests about your personal data go to privacy@krexant.com.

6.9 Changes to pricing

We may change plan pricing for future periods. A price change never applies to a period you have already paid for. If you are on a Paid plan and the price changes before your next renewal, we will show you the new price at the point you renew, and renewal at the new price requires your action, per 6.5 — you are never charged a new, higher price without completing a new checkout at that price.

6.10 Fair use

Plan limits (including the Free plan's upload allowance and any bank-linking or refresh limits described on the pricing page for Clarity and Pro) exist in part because processing your documents — extraction, OCR, and connecting to your bank where you have enabled that — has a real cost to us. We monitor usage for patterns that are clearly outside normal personal or sole-proprietor use (for example, automated or bulk usage inconsistent with a single individual's or business's own tax affairs), and we reserve the right to apply reasonable additional limits or ask you to move to a higher plan in those cases. We will never apply this section to limit or throttle your ordinary, good-faith use of your own account.

6.11 Your statutory rights are not reduced

Nothing in this Section 6 limits any right you have under Nigerian law that cannot lawfully be excluded by agreement, including your rights against defective goods or services under the Federal Competition and Consumer Protection Act 2018. Where anything in this section conflicts with such a right, your statutory right applies. See also Section 9 for the separate limitation on our overall liability, which is a different question from your right to a refund or remedy for a defective service under this section.

7. Third-party services

KlaroTax integrates with third-party services (see Section 5 of the Privacy Policy) to provide parts of the service. Your use of those integrations is also subject to each provider's own terms. KlaroTax never takes custody of or moves your money. If we introduce bank-account linking or an optional savings/investment referral feature (such as "Reserve") in future, this section will be updated to name the specific partner and describe the integration before that feature goes live.

8. Prohibited use

You may not use KlaroTax to submit fraudulent documents, misrepresent your tax position intentionally, attempt to access another user's data, or otherwise misuse the service.

9. Disclaimers and limitation of liability

KlaroTax provides its service "as is." While we apply deterministic, explainable logic and conservative assumptions, tax law is subject to interpretation and change, and KlaroTax does not guarantee a specific tax outcome. You remain responsible for your own tax return and for your filing obligations to the Nigeria Revenue Service.

To the maximum extent permitted by Nigerian law, KlaroTax's total liability to you in connection with these Terms or your use of the service, in any twelve-month period, is limited to the total Fees (as defined in Section 6) you paid to KlaroTax in that period, including any usage fees paid under a free or nominally-free plan. Use of a free-tier plan does not by itself reduce or exclude KlaroTax's liability where usage fees were in fact charged and paid in that period. Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded, or any right you have under the Federal Competition and Consumer Protection Act 2018 or other Nigerian consumer protection law.

10. Termination

You may close your account at any time via Settings → Privacy & Data, which triggers the data-deletion process described in Section 9 of the Privacy Policy. We may suspend or terminate accounts that violate these Terms.

11. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes are subject to the jurisdiction of Nigerian courts, without prejudice to any statutory consumer-protection rights you may have.

12. Changes to these terms

We may update these Terms from time to time; material changes will be flagged in-app before they take effect.
